Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Dentiphoto AI platform at dentiphoto.ai and all related services (the "Service"), operated by ARTX L.L.C-FZ ("we," "us," or "our"), a company registered in Dubai, United Arab Emirates.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "User" means any individual or entity that creates an account and uses the Service.
• "Content" means any photographs, images, text, or other materials uploaded to or generated through the Service.
• "User Content" means Content uploaded by the User to the Service.
• "Generated Content" means Content created or modified by the Service using artificial intelligence or other processing tools.
• "Subscription" means a paid plan that provides access to premium features and credits.
• "Credits" means the units of usage allocated under a Subscription for accessing AI-powered features.

2. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Account Registration and Security

You may register using an email address and password or through Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@dentiphoto.ai if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or are used for fraudulent or illegal purposes.

4. Service Description

Dentiphoto AI is a platform that provides AI-powered photo editing, content creation, and image processing tools. The Service uses third-party artificial intelligence services including Retouch4me, fal.ai, Anthropic (Claude), and Replicate to process User Content.

The Service is provided "as is" and we do not guarantee specific results from AI processing. AI-generated outputs may vary and should be reviewed by the User before use.

5. Subscriptions and Payments

5.1 Plans and Credits

The Service offers free and paid subscription plans. Paid plans include a monthly allocation of Credits that can be used for AI-powered features. Unused Credits do not roll over to the next billing period unless otherwise specified in the plan details.

5.2 Billing

Paid Subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are quoted in US Dollars unless otherwise stated.

5.3 Plan Changes

You may upgrade or downgrade your Subscription at any time. When changing plans, the new plan takes effect from the date of the change. Any remaining Credits from your previous plan will be preserved on your account balance. The previous plan will be cancelled and replaced by the new plan immediately.

5.4 Cancellation and Refunds

You may cancel your Subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. We do not provide refunds for partial billing periods. Remaining Credits at the time of cancellation will remain available until the end of the billing period.

6. User Content and Intellectual Property

6.1 Ownership

You retain all rights to your User Content. By uploading Content to the Service, you grant us a limited, non-exclusive, worldwide license to process, store, and transmit your Content solely for the purpose of providing the Service to you.

6.2 Generated Content

Content generated by the Service using AI tools belongs to you, subject to any applicable third-party terms from the AI service providers used in processing. You are responsible for ensuring your use of Generated Content complies with applicable laws.

6.3 No Training

We do not use your User Content to train AI models. Your Content is processed solely to deliver the requested service and is not used for any other purpose.

6.4 Content Restrictions

You agree not to upload or use the Service for Content that:

• Infringes on the intellectual property rights of any third party.
• Contains illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable material.
• Contains malware, viruses, or other harmful code.
• Violates any applicable law or regulation.
• Includes images of individuals without their consent.

7. Responsibilities of Healthcare Professionals

If you are a dental professional, healthcare provider, or any user uploading photographs of patients or other individuals, you represent and warrant that:

• You have obtained valid written consent from each individual whose photographs you upload to the Service.
• Such consent explicitly authorizes cloud storage, processing by artificial intelligence services, and transfer to third-party service providers for image processing.
• You are in compliance with all applicable healthcare data protection laws, including but not limited to HIPAA (United States), GDPR (European Union), UK GDPR (United Kingdom), PIPEDA (Canada), and any other applicable local regulations.
• You will maintain records of such consents for as long as you use the Service and for any additional period required by law.
• You will not upload photographs of minors without the explicit written consent of their parent or legal guardian.

You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your failure to obtain required consents or your violation of applicable healthcare data protection laws.

We provide a sample patient consent form template for your convenience. It is your sole responsibility to ensure that the form meets the legal requirements of your jurisdiction and to obtain proper execution of such forms.

8. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools (bots, scrapers) to access the Service without our prior written consent.
• Resell, redistribute, or sublicense access to the Service without our authorization.
• Circumvent any usage limits, credit allocations, or access controls.
• Use the Service to store or process personal data of residents of the Russian Federation, in accordance with Federal Law No. 152-FZ.
• Use the Service to store or process personal health data of residents of the United Arab Emirates unless you have obtained all necessary authorizations under applicable UAE data protection laws.

9. Disclaimers

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the accuracy, quality, or reliability of any AI-generated content. AI processing results are provided for informational purposes and should not be relied upon as medical advice, diagnosis, or treatment recommendations.

We are not responsible for the content of any third-party websites or services linked to or integrated with the Service.

10. Limitation of Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ARTX L.L.C-FZ and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service, your violation of these Terms, your violation of any applicable law or third-party rights, or any Content you upload to or generate through the Service.

12. Term and Termination

These Terms remain in effect for as long as you use the Service. We may terminate or suspend your access to the Service at any time, with or without cause, upon notice to you. Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days of termination, and backup copies within 90 days, unless retention is required by law.

The following sections survive termination: Sections 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law).

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

14. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms constitute the entire agreement between you and ARTX L.L.C-FZ regarding the Service and supersede all prior agreements or understandings. We may assign these Terms without restriction. You may not assign your rights or obligations without our prior written consent.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where practicable, by email. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
